When incorporating a company in Cambodia, the legal entity must register with at least three governmental bodies; sometimes even four. Step 1: Incorporating with the Ministry of Commerce (MOC)
You need to form and incorporate your company with MOC. Registration can be completed online. You need to get the required information and supporting documents ready before you can process the application. If you don’t know how to do this, you may entrust the process to any reliable agent. Step 2: Registering a patent and VAT with the General Department of Taxation (GDT) You need to register a patent and VAT for your new company with GDT within 15 calendar days of your registration with MOC. Late registration will incur a penalty. Step 3: Declaring your company open with the Ministry of Labor and Vocational Training (MLVT) Once your patent and VAT registration with GDT is complete, you need to declare a company opening with MLVT. So far, MLVT has not strongly enforced this registration. Some companies seem to ignore this process and do not register until they discover that they need to register their employees (quota registration). Step 4: Registering your business license with a related ministry Some business types require a license registration with a related ministry before conducting their business activities e.g. construction, real estate, travel companies, etc. For a construction company, you need to register for a business license with the Ministry of Land Management, Urban Planning and Construction (MLMUPC). For a real estate company, you need to register for a business license with the Ministry of Economic and Finance (MEF). For a travel company, you need to register for a business license with the Ministry of Tourism (MT). These steps are the current standard business registration procedures in Cambodia. However; requirements for completed registrations vary based on the particular business type. These steps and procedures do not apply to a sole proprietorship registration at the Department of Commerce and Qualified Investment Project (QIP) registration with the Council for the Development of Cambodia (CDC).
